Pursuant to the Rule 2.07 of the Rules (the “Listing Rules”) Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited under the expansion of paperless listing regime and electronic dissemination of corporate communications that came into effect on 31 December 2023, InnoCare Pharma Limited (the “Company”) is writing to inform you that the Company has adopted electronic dissemination of future corporate communications (the “Corporate Communications”) (Note1) to its shareholders (the “Shareholders”) and will only send Corporate Communications in printed form to Shareholders upon request.
In this connection, the following arrangements will come into effect from March 1, 2024.
Actionable Corporate Communications (Note2)
The Company will send the Actionable Corporate Communications to its Shareholders individually in electronic form by email. If the Company does not possess the email address of a Shareholder or the email address provided is not functional, the Company will send the Actionable Corporate Communications in printed form together with a request form for soliciting the Shareholder’s functional email address to facilitate electronic dissemination of Actionable Corporate Communications in the future.
Corporate Communications (other than Actionable Corporate Communications)
The Company will make all other corporate communications available on its website (www.innocarepharma.com) and HKEx’s website (www.hkexnews.hk) (the “Website Version”) in place of printed copies.
Subject to Shareholders’ approval, until the Company has amended its articles of association, which is expected to take place at the annual general meeting proposed to be convened in June 2024, a notice of publication of the Website Version of Corporate Communications, in both English and Chinese, will be sent by the Company to Shareholders by email or by post (if in the case the Company does not possess a functional email address of a Shareholder) on the publication date of the Corporate Communications.
Provision of Shareholder’s email address to the Company
In support of electronic communication by email, Shareholders are reminded to provide the Company with their email addresses at any time in future by reasonable written notice to Computershare Hong Kong Investor Services Limited, the Company’s Hong Kong share registrar (Share Registrar), by post at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong or by email to InnoCare.ecom@computershare.com.hk.
It is the responsibility of the Shareholders to provide email address that is functional. If the Company does not possess the email address of a Shareholder or the email address provided is not functional, the Company will act according to the above arrangement, including, with respect to Corporate Communications, ceasing making available the Notice of Publication to Shareholders as and when allowed by the Company’s then effective memorandum and articles of association. With respect to Actionable Corporate Communications, the Company will be considered to have complied with the Listing Rules if it sends Actionable Corporate Communications to the email address provided by a Shareholder without receiving any “non-delivery message”.
Request for printed copy of corporate communications
For those Shareholders who wish to receive a printed version of all future Corporate Communications and Actionable Corporate Communications or, if for any reason, have difficulty in gaining access to the Company’s website, the Company will, upon receipt of request in writing or by email to InnoCare.ecom@computershare.com.hk by the Shareholder to the Share Registrar, send future Corporate Communications and Actionable Corporate Communications to such Shareholders in printed form free of charge. Please note that such instruction shall be valid for three years starting from the receipt date of your instruction and will expire thereafter.

1.Corporate Communications include any documents issued or to be issued by the Company, including but not limited to (a) the directors’ report, its annual accounts together with a copy of the auditors’ report and, where applicable, its summary financial report; (b) the interim report and, where applicable, its summary interim report; (c) a notice of meeting; (d) a listing document; (e) a circular and (f) a proxy form.
2.Actionable corporate communications is any corporate communication that seeks instructions from the shareholders on how they wish to exercise their rights or make an election as a shareholder.
